International NGO Charter of Accountability Company Ltd
The Company is registered in the United Kingdom as a company limited by guarantee. It is owned by its Members and managed by a Board of Directors selected from its Members. Members sign up to the Charter and commit to complying with the ethical framework and principles defined by the Charter. All Members pay an annual fee which is used to cover the costs of administrating and developing the Charter.

Board Members
Members elect from amongst themselves a Board. The Board guides the development of the Charter and its reporting process; makes all decisions regarding membership; oversees the work of the Charter Secretariat etc. You will find more information about the current Board Members here.
The Independent Review Panel
The role of the Panel is to review and give feedback on the Members’ annual accountability reports. The Charter is currently also working on developing a complaints mechanism, in which the Panel will also play an important role. Members of the Panel are selected by the Board for a three year term, and should not be associated with any of the Charter’s Member Organisations.
The Charter Secretariat
The Berlin Civil Society provides a secretariat function to the Charter. Their role is to be the first point of contact for Members and interested organisations; to pre-screen the Members’ annual accountability reports; to provide support to the Board, the Members and the Panel, to manage the website etc. The Berlin Civil Society Center is compensated for this work. The Berlin Civil Society Center is not a Member of the Charter but has a non-voting seat on the Board.
